Terms and Conditions

Welcome to CloutLab! These Terms and Conditions ("Terms") govern your use of our coaching services, whether you are an individual client or a representative of a corporate group. By engaging in our services, you agree to these Terms. Please read them carefully.

1. Definitions

For the purposes of these Terms:

  • "Company" refers to CloutLab.
  • "Client" refers to an individual or organization engaging the Company for coaching services.
  • "Services" refers to the coaching programs, sessions, or materials provided by the Company.
  • "Agreement" refers to a written contract between the Company and the Client that outlines the scope of the Services.

2. Payment Terms

  • All payments for Services are due in full as specified in the Agreement. Payment methods will be outlined in your invoice or Agreement.
  • For individual clients, payment must be completed before gaining access to any program materials or sessions.
  • For corporate clients, payment terms, including invoicing details, will be outlined in the specific Agreement with the organization.

3.Ā  Refund Policy

  • Due to the nature of our Services, all sales are final. Refunds are not offered under any circumstances. Clients are encouraged to thoroughly review program details before committing to the Services.

4. Confidentiality

  • The Company respects the confidentiality of its Clients and will not disclose information shared during coaching sessions without expressed permission, except where required by law.
  • Clients agree to maintain confidentiality about proprietary methods, tools, or shared strategies provided during the course of the Services.

5. Intellectual Property

  • All content, materials, strategies, or tools provided during the Services are the intellectual property of the Company.
  • Clients are granted a limited, non-exclusive, and non-transferable license to use the materials for personal or organizational growth.
  • You may not copy, distribute, modify, or share any Company materials without prior written consent.

6. Cancellations and Rescheduling

Individual Clients
  • Session cancellations or rescheduling requests must be submitted in writing at least 48 hours in advance. Missed sessions or cancellations made within 48 hours of the scheduled time are non-refundable and may not be rescheduled.
  • If a meeting needs to be cancelled or rescheduled (with the minimum 2 business days notice), links within meeting invites should be used, or direct email communication. We cannot accommodate "Propose New Time" requests.
Corporate Clients
  • Cancellation terms for team or group coaching engagements will be dictated in the Agreement. Failure to adhere to these terms may result in forfeiture of scheduled Services.
Kajabi Online Learning Platform UsersĀ 
  • Drop-in coaching times are subject to change, and, if necessary, will be rescheduled for an alternate time that same week or, in some cases, a subsequent week. Every effort is made to provide scheduling options, but we cannot guarantee availability.

7. Limitation of Liability

  • The Company does not guarantee specific outcomes as a result of its Services and shall not be held liable for decisions or actions taken by the Client following coaching sessions.
  • The Company’s liability for any claims related to the Services is limited to the fee paid by the Client under the applicable Agreement.

8. Governing Law

These Terms and the Agreement shall be governed by and construed in accordance with the laws of California. Any disputes will be resolved under the jurisdiction of the state of California.

9. Dispute Resolution

If a dispute arises, the Client and the Company agree to attempt to resolve the issue through informal negotiation first. If the matter cannot be resolved, it will proceed to binding arbitration as per the laws of the state of California.

10. Changes to Terms

The Company reserves the right to update or modify these Terms at any time without prior notice. Clients will be notified of significant changes through email or through an update on the Company’s website. Continued use of Services signifies acceptance of the updated Terms.

These Terms and Conditions, along with the applicable Agreement, constitute the entire understanding between the Client and the Company regarding the contracted Services.

By engaging in our programs or Services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
